2.1.

If you register for an account on the Platform ("Account") you agree to provide accurate and current information during the registration process.

Your Account is yours only and should not be shared with any other person beyond You or the additional accounts approved to access it. You agree not to share your account password with any person, and to maintain the security of your account. You agree to notify Reedapt immediately if any unauthorized use of your Account or breach of security.

2.3.

We may suspend, close or terminate your account in the event you are in breach of these Terms. This will also prevent you from accessing any Services and credit tied to your account.

2.4.

Reedapt shall not be liable for any loss, damage, or liability arising from your failure to comply with your obligations under this Section.

3.1.

To create and maintain access to your Reedapt Account, you must provide certain information. Our collection, use, sharing, and processing of your personal data are governed by our Privacy Notice, which is incorporated into these Terms by reference. You agree to be bound by our Privacy Notice and other related policies.

3.3.

You acknowledge that Reedapt may process personal data and all the information within any content and prompt you input into our Service "User Prompt Information". You further agree that we may process this personal data in connection with the operation and provision of the AI-generated interpretations and content ("AI Output").

4.1.

Reedapt is an AI-powered platform that provides communication and interpretation tools through real-time interpretation of audio and video content. Through natural language processing, machine learning technologies and our AI Model, Reedapt provides the following core services:

• Live interpretation across multiple languages
• Instant transcription and subtitling
• Context-aware, industry-specific language processing
• Multilingual Tools
• Integration with other platforms

5.1.

When you make use of our Service, you may provide information and content including audio or video input (User Prompts). Our AI model will then return an interpreted output in your requested language ("AI Output"), which you can download from the Services.

5.2.

You grant Reedapt a worldwide, royalty-free, non-exclusive license to:

• process and use your User Prompts, including audio and video input, to train and improve our AI Model.
• use the User Prompts, to enhance our Services, including contextual audio interpretation and voice technologies.

5.3.

You represent and warrant that you have all necessary rights to grant the licenses described above for any audio or visual prompt you provide.

6.1.

You agree to use the Services only for lawful purposes and in accordance with these Terms and any service-specific documentation provided by Reedapt. You expressly agree not to use our Services or the AI interpretation to:

• transmit, distribute, or store material in violation of any applicable law or regulation;
• facilitate or engage in activities that are fraudulent, deceptive, harassing or otherwise objectionable;
• access or attempt to access portions of the system or data not explicitly authorized to you;
• generate AI Outputs that violate any applicable laws or third-party rights, or that are harmful, defamatory, obscene, or otherwise objectionable.

7.1.

All intellectual property rights in and to the Platform, Services, software, content, documentation, system architecture, and related components are and shall remain the exclusive property of Reedapt or its licensors.

7.2.

Subject to your compliance with these Terms, Reedapt grants you a limited, non-exclusive, revocable license to access and use our Services.

7.3.

While using our services, you agree not to:

• impose an unreasonable or disproportionately large load on our systems or interferes with the proper working of our infrastructure or that of any other client;
• sell, sublicense, lease, distribute, or commercially exploit any aspect of the Services except as expressly authorized in writing by Reedapt;
• use the Services to create, train, or enhance any product or service that competes, directly or indirectly, with Reedapt;
• bypass, disable, or interfere with any security or access control measures associated with our systems or those of our partners;
• reproduce or modify any content, branding, or design elements of the Platform without our express permission.

8.1.

Access to certain Services offered by Reedapt may be subject to fees, subscription charges, usage-based billing, or other pricing structures. By continuing to use any fee-based Services, you agree to pay all applicable charges as specified on our website, pricing documentation, or communicated to you directly.

8.2.

All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities, and you are solely responsible for the payment of such taxes. Payment shall be made using the available methods designated by Reedapt and all payments are non-refundable except as required by law or expressly stated otherwise.

8.3.

Failure to pay on time may result in service limitations, suspension, or permanent deactivation of your access to the affected Services.

9.1.

Reedapt platform and its Services are currently in an early access phase and under active development. This means we are still developing our Services and are continuously working to enhance performance, add features and improve stability. By accessing or using the Services, you acknowledge that:

• the Platform and its features may undergo frequent changes, updates and improvements;
• you may encounter bugs, errors, interruptions or inaccuracies as we refine and expand the Services;
• the Services may not always be available or fully function.

9.2.

Any non-public information regarding the Services, including their performance and your feedback, is considered confidential information of Reedapt. You agree not to disclose such information to any third party, without Our prior written consent.

10.1.

Your use of our Services, and any content or materials provided with them is entirely at your sole risk. As our Services are currently in a beta state, you understand and agree it may obtain bugs, errors or defects that may not be fully functional, reliable and their features performance or availability may change or be discontinued.

10.2.

To the fullest extent permitted by applicable law our and all related content provided "as is" and "as available", without warranties of any kind, whether express or implied.

10.3.

We expressly disclaim all warranties of any kind, whether express or implied including without limitation implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, security or accuracy.

10.4.

We do not represent or warrant that our Services or our AI Interpretation Services or future updates we might make or any content provided will be accurate, complete, reliable, current or error free or that access to Our Services will be uninterrupted.

10.5.

We shall not be liable for any direct or indirect losses or damages arising out of or in connection with the use of our Services except that we may be liable for losses due only to our willful misconduct or gross negligence.

10.6.

No advice or information obtained from us will create any warranty not expressly stated in this Agreement. We do not warrant the accuracy or completeness, or reliability of any information you access through the use of our Services.

10.7.

Due to the nature of machine learning, the AI output generated by you using the Services may not be unique across users. This means the Services may produce the same or similar output for you and a third party. Responses requested by and generated for other users that are not you shall not be considered your AI Output, and you shall have no right or title over it.

11.1.

You will indemnify and hold harmless Us, Our affiliate and their respective directors, officers and agents from any loss or damage arising out of or in connection with:

• your use of the Services;
• your violation of these Terms;
• your violation of any third-party right including any intellectual property right or privacy right;
• any dispute or issue between you and any third party in connection with this Service.

11.2.

Whenever your indemnification responsibility is triggered, it will also include interests that may be added to the amount payable.

12.1.

Reedapt reserves the right to terminate or suspend your access to the Services immediately and without prior notice, if you breach these terms.

12.2.

We may also terminate or suspend access if the Services are discontinued or substantially modified.

12.3.

Upon termination, your access credentials will be disabled and all data and configurations associated with your account may be deleted in accordance with our Policies.

13.1.

If any dispute, controversy, or claim arises out of or relates to your use of the Services, your relationship with Reedapt or the interpretation or application of these Terms, both you and Reedapt agree to make reasonable efforts to resolve such dispute amicably and in good faith through informal negotiation.

13.2.

If the dispute remains unresolved after fifteen (15) calendar days from the date one party notifies the other in writing of the dispute, either party may refer the matter to arbitration. The arbitration shall be conducted in Lagos, Nigeria in the English language, and in accordance with the provisions of the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.

13.3.

The decision of the arbitrator shall be final and binding. Each party shall bear its own legal costs, and the administrative costs of the arbitration shall be shared equally unless the arbitrator decides otherwise.

14.1.

These Terms and any dispute or claim arising out of or in connection with their subject matter shall be governed by and construed in accordance with the laws of the state of Delaware in the United States, without regard to conflict of law rules.
